MEMBERSHIP AGREEMENT

Welcome to the Treasured Memories Program! We are excited that you have elected to join. By signing below, you acknowledge and agree to the following terms governing membership in Treasured Memories.

Membership Benefits: As a Member, you will enjoy benefits including the following: ·  Marketing Points - Substantial marketing points for Treasured Memories Mastercard ·  Rewards Program - Points may be redeemed for a variety of products or services ·  Valuable Discounts - Upon purchases of embalming fluids from Dodge Chemical, paper supplies from Messenger and DVD software and support; Treasured Memories Supply; and other products or services selected. ·  Consulting Services - Experienced Members of the Treasured Memories team will offer consulting services, regarding the design and implementation of services selected. ·  Moderate Membership Fee - Free for the First Year.

Membership Term: This Agreement is effective on the date specified below. Your annual membership of $500 renews automatically and can be deducted from your Points Statement, or simply pay via online or by check. If your Membership Fee is 90-days past due, we reserve the right to deduct your Membership Fee out of your Points Statement and your TM Benefits will continue. You may terminate at any time, upon 90-day notice.

Additional Benefits: As a Member, you will also enjoy additional benefits as they are identified and secured by the Treasured Memories management team. Treasured Memories reserves the right to alter the benefit terms or substitute other benefits from time to time as necessary.

Marketing Reward Points: “Points” are issued by Treasured Memories and are independent of, and in addition to, any marketing premiums provided by the vendor.

Points are awarded by Treasured Memories and may be redeemed for merchandise and services through use of your “Treasured Memories Rewards Program” Mastercard. Points will be issued monthly as earned.

Limitation of Warranties: Treasured Memories provides no warranty of quality or fitness for any particular purpose, upon products or services purchased by Members, and you agree that you are limited to whatever warranties may be offered by the service provider or product supplier. Any liability of Treasured Memories is limited to a refund of the current membership fee paid. Merchandise warranties are limited to those provided by the vendor. Treasured Memories makes no warranty as to quality or fitness for purpose of any merchandise purchased, and you waive any claims against Treasured Memories arising out of or related to purchases from the vendor. Insurance services are purchased by C & J Financial and Beta Capital, Inc., and you agree that Treasured Memories shall have no liability for the actions of those independent companies.

Miscellaneous Terms: This Agreement and Schedules expresses the entire agreement of the parties, and may not be modified except by subsequent writing. This Agreement is governed by the laws of the State of West Virginia, and you agree that the courts of Ohio County, West Virginia shall have exclusive jurisdiction of any civil action filed against Treasured Memories. Should a dispute arise, you agree that any financial recovery against Treasured Memories shall be limited to the current membership dues paid by you.

By signing below, you agree that Batesville Casket Company, Inc. ("BCC") is authorized to provide a Treasured Memories representative with the following information only: (1) the number of caskets purchased by you from BCC in any calendar month or year and (2) the total aggregate wholesale amount (not including discounts or rebates) associated with such monthly or annual casket purchases. Treasured Memories agrees to maintain strict confidentiality of all such information provided by BCC and not to disclose such information to any third party.
